Clifford Chance Badea advised Nofar Energy România in the signing of contracts for EPC, O&M and equipment supply for 3 photovoltaic parks with a total capacity of 388.6 MW

A multi-jurisdictional team of Clifford Chance lawyers from Bucharest and Warsaw advised the Israeli company Nofar Energy România, a leader in renewable energy, in the signing of contracts for EPC, O&M and supply of solar energy production equipment for three photovoltaic parks with a total capacity of 388.6 MW.

The latest agreement, announced last week, is related to the signing of contracts for Engineering, Procurement and Construction (EPC), and Operation and Management (O&M) respectively, with AJ Construction, for a 73.6 MW photovoltaic park in Slobozia, Giurgiu County.

Previously, the Clifford Chance team had advised the Israeli company Nofar in the signing of EPC and O&M contracts with CJR Renewables, for two other 315 MW photovoltaic projects in Giurgiu County.

The support provided to Nofar Energy is part of a larger collaboration between Clifford Chance and the Israeli company, related to renewable energy projects in Romania with a total installed capacity of 643 MW. At the end of last year, the Clifford Chance lawyers advised the company in the signing of the largest contract so far on the Romanian renewable energy market regarding the supply of equipment for solar energy production. The contract stipulates that the LONGi Solar manufacturer will deliver equipment for Nofar Energy projects in Romania totalling, at that time, a capacity of 576 MW.

The team of Clifford Chance lawyers coordinated by Lavinia Dinoci (Head of Construction & Real Estate Practice in the Bucharest office) and Marcin Markowski (Counsel in the Warsaw office) provides legal assistance throughout the entire process, from drafting the documentation for contractors' selection, negotiation, drafting and finalizing of contractual documents, and support during signing. The team also includes Diana Borcean and Carmen Buzenche (Senior Associates, Bucharest), Adrian Król (Senior Associate) and Kinga Grzelczak (Associate) - Warsaw.

The renewable energy projects recently advised by Clifford Chance Badea include:

  1. Advising Premier Energy, one of the largest renewable energy players in Romania and the Republic of Moldova, in relation to the Initial Public Offering and listing on the Bucharest Stock Exchange amounting to approximately RON 700 million;
  2. Advising Enel Green Power Romania in the acquisition of a 90 MW solar portfolio from the Greek group Mytilineos;
  3. Advising the Austrian group Enery Power Holding in connection with the acquisition and financing of a photovoltaic park in Sărmașag commune, Sălaj county, with a projected capacity of 50 MW, from the independent electricity supplier Restart Energy One;
  4. Advising the bank syndicate including Banca Comercială Română S.A. and Erste Group Bank AG in connection with the financing of the acquisition by Austrian group Enery Power Holding of the renewable energy portfolio held by the Canadian company Jade Power Trust;
  5. Advising Actis, the global investment fund in sustainable infrastructure in relation to the acquisition from UK-based investment company Low Carbon of the majority interest in two renewable energy projects under development in Romania, with an estimated installed capacity of around 1,000 MW;
  6. Advising Rezolv Energy, the regional renewable energy platform of global investment fund Actis, in relation to the acquisition of the 1,044 MW solar plant in Arad County from Monsson Group;
  7. Advising an Israeli investor in energy projects on the due diligence related to the envisaged development of a solar project in Romania with more than 65 MW;
  8. Advising a developer in the sale of a wind power project with an installed capacity of 150 MW
